Terms of Service

These terms govern your use of Replim. They are written to be read, so they are in plain language, but they are still the agreement between us. If you use Replim on behalf of a company, you are agreeing on that company's behalf.

Who we are, and what Replim does

Replim brings comments from Instagram, Facebook, LinkedIn and YouTube into a single inbox, tags them, and prepares suggested replies for a person to approve. You connect your own accounts; we read comments from them on your instruction.

What Replim does not do: it does not publish posts, it does not schedule content, and it does not post replies back to any platform. A reply you write or approve in Replim is stored against the comment in Replim. Any claim to the contrary, wherever you saw it, is wrong and this paragraph governs.

Replim is early software

Replim is pre-launch. Parts of it are unfinished and are described as such inside the product and on the build status section of our home page. You should read that before you rely on Replim for anything that matters.

To the maximum extent the law allows, Replim is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that Replim will be uninterrupted, timely, secure, or error free, or that any comment will be fetched, classified or surfaced correctly.

Your account

You must be at least 16, give accurate details, and keep your credentials secure. You are responsible for everything that happens under your account and for every person you invite into your workspace.

We may suspend or close an account that breaches these terms or our Acceptable Use Policy, that puts the service or other customers at risk, or that we are required to act on by law. Where it is reasonable and lawful to do so, we will tell you why.

Your content, and other people's

You keep ownership of everything you bring to or create in Replim. You grant us a limited, non-exclusive licence to host, process, transmit and display it, only so far as is needed to operate the service for you.

This is the part that matters most in this product. The comments Replim fetches were written by other people. You are responsible for having the right to collect and process them, for complying with the terms of each platform you connect, and for handling the rights of the people who wrote them. In data protection terms you are the controller and we are your processor; the Data Processing Addendum sets out how that works and forms part of these terms.

Artificial intelligence features

Replim sends comment text to a third-party AI provider to classify it and to draft suggested replies. Our current provider is listed on the subprocessors page.

AI output is a suggestion and nothing more. It can be wrong, it can misread tone, and it can invent facts. Every draft is editable and nothing is sent anywhere until a person acts on it. You are responsible for what you approve. Do not rely on a classification or a draft as advice of any kind, and do not put anything into Replim that you would not be willing to send to a third-party AI provider.

Plans, billing and taxes

Paid plans are sold through Dodo Payments, which acts as the merchant of record. That means Dodo is the seller for the transaction, handles payment and charges and remits applicable taxes. Your purchase is also subject to Dodo's own terms, shown at checkout. We never receive or store your card details.

Fees, trial length and plan limits are as shown on the pricing section at the time you subscribe. Subscriptions renew automatically until cancelled. Cancellation, refunds and trials are covered in Refunds and Cancellation.

We may change prices. If we do, we will give at least 30 days' notice before the change applies to your renewal, and you may cancel before it takes effect.

Acceptable use

The Acceptable Use Policy forms part of these terms. In short: do not use Replim to break the law, to harass anyone, to scrape data you have no right to, to send spam, or to work around the rules of the platforms you connect.

Availability and support

We do not offer a service level agreement at this stage, and we do not promise any particular uptime. We may change, suspend or discontinue any part of Replim. Where a change would materially reduce what a paid plan does, we will give reasonable notice and, if you are on a paid plan and do not accept it, a pro-rata refund of the unused period.

Limitation of liability

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the maximum extent permitted by law:

  • Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, business or data.
  • Our total aggregate liability arising out of or in connection with these terms is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars.
  • We are not liable for anything caused by a platform changing or withdrawing its API, by a third-party provider failing, or by output an AI feature produced.

Indemnity

You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your use of Replim in breach of these terms, from content you bring to or approve in Replim, or from your failure to hold the rights needed to process the comments you collect.

Ending the agreement

You may stop using Replim and cancel a paid plan at any time. We may end this agreement on notice, or immediately for a material breach.

When an account closes we delete or de-identify workspace data within 30 days, except where we must keep records for legal, tax or accounting reasons. You can export or ask for your data before you close the account.

Changes to these terms

We may update these terms. For material changes affecting paid plans we will give at least 30 days' notice by email or in the product. Continuing to use Replim after a change takes effect means you accept it. Every version carries the date it was published.

Governing law

These terms are governed by the laws of the jurisdiction in which the Replim operator is established, and the courts of that jurisdiction have exclusive jurisdiction, without affecting any mandatory consumer protection rights you have where you live.

If any provision is held unenforceable, the rest continues to apply.
